Types of Companies

  • The JSC capital is made up of shares, and no minimum or maximum value is set. 100% of shares can belong to a sole owner.
  • The company’s authorized capital should be paid by at least a quarter before entering into the State Register. 
  • You will need to rent an office in Uruguay to keep company information and hire a local registered agent.
  • The company will need to regularly file accounting reports.

Limited Liability Partnership

While a Joint-Stock Company is popular with large companies, Limited Liability Partnership is more appropriate for small and medium businesses, and there is no possibility to purchase a ready-made one. An LLP is established by signing a corporate agreement between partners (from 2 to 50) and registering the document at the National Register of Commerce.

Features of the LLP:

  • The company’s capital can be changed.
  • Each partner’s liability is limited to the amount of participation share in the company.
  • At least half of the amount stipulated in the contract should be contributed.
  • If there are more than 5 partners in the company, it can only be transferred to a third party if 75% of them give their consent.
  • The language of the LLP’s corporate agreement is Spanish.
  • An extract from the Register of Commerce should be published in Uruguay’s printed edition as soon as the company registration is complete.
